The Late Crowd, LLC ("Late Crowd," "we," "us," or "our") operates ScreenGen™, a service of The Late Crowd, LLC, available at https://screengen.tv/ and related ScreenGen application URLs (collectively, the "Service"). These Terms and Conditions ("Terms") govern your access to and use of the Service.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Our collection and use of personal information is described in our Privacy Policy.

1. Acceptance of Terms

These Terms form a binding agreement between you and The Late Crowd, LLC. You must be able to form a binding contract under applicable law to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. The Service

ScreenGen™ is a tool for creating on-set and in-camera reference screens and related controls. The Service may include the generator application, a remote controller, pairing features, Projects and Scenes, a media library, accounts, Free and Pro memberships, help content, and other features we make available from time to time.

We may change, suspend, or discontinue any part of the Service, including free and paid features, at any time. We do not guarantee that any particular feature will remain available.

3. Eligibility

The Service is not directed to children under the age of 13 (or the equivalent minimum age in your jurisdiction). You may not use the Service if you are prohibited from doing so under applicable law.

4. Accounts and Memberships

Use of the Service requires a ScreenGen account. When you create an account or purchase a membership:

  • You are responsible for the accuracy of information you provide and for keeping your login credentials confidential.
  • You are responsible for activity that occurs under your account, including activity on devices you pair.
  • Free membership provides limited features. Features that require Pro may prompt you to upgrade.
  • Pro membership (monthly or annual) unlocks Projects, scenes, pairing, and the media library within the limits shown in the Service.
  • Fees, billing period, renewals, and cancellations are subject to the plan details shown at checkout and in your account, and to the terms of our payment processor.
  • Canceling a membership is not the same as deleting your account. Account deletion is available through the account tools we provide and is described in our Privacy Policy.
  • We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or abuse risk.

By creating an account or purchasing Pro, you accept these Terms and our Privacy Policy.

5. Your Content and Processing

You retain ownership of images, video, text, and other materials you load into, upload to, or create with the Service ("Your Content"). You are solely responsible for Your Content and for having all rights and permissions needed to use it with the Service.

Some features process content on your device. Where a feature stores, syncs, or delivers content through our systems (for example Pro library storage or pairing), that content is handled only as needed to provide the feature and is subject to our Privacy Policy, including retention limits.

You grant The Late Crowd, LLC a limited, non-exclusive license to host, process, transmit, and deliver Your Content to paired devices solely as necessary to operate the features you use. We do not claim ownership of Your Content, and we do not use Your Content to train artificial intelligence or machine learning models.

6. Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, fraudulent, or abusive purposes
  • Infringe others' intellectual property, privacy, or other rights
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the Service, including by introducing malware or overloading infrastructure
  • Reverse engineer, scrape, or automate access to the Service in a way that harms operation or violates these Terms, except to the extent such restriction is prohibited by law
  • Misrepresent your identity or affiliation, or use the Service to distribute spam
  • Resell, sublicense, or provide the Service to third parties as a competing product without our prior written consent
  • Circumvent Free or Pro plan limits or other access controls
  • Abuse pairing features, including by guessing or sharing pairing codes to access others' sessions without authorization
  • Claim affiliation with third-party platforms or brands through generic social skins or other features of the Service

7. Intellectual Property

The Service — including its software, design, text, graphics, and documentation — is owned by The Late Crowd, LLC or its licensors and is protected by intellectual property laws. ScreenGen™ is a trademark of The Late Crowd, LLC. These Terms do not grant you any right to use our names, logos, or trademarks except as needed for ordinary use of the Service.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own professional or personal projects.

8. Third-Party Services and Links

The Service may link to or integrate third-party sites or services, including payment processing, analytics, stock media, and email delivery. Those third parties are not controlled by us, and their terms and privacy practices apply to your use of them. We are not responsible for third-party content, products, or services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ScreenGen is a production and creative tool. You are solely responsible for verifying outputs, device behavior, timing, pairing, and suitability for your shoot, broadcast, or other use. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that it will meet your specific production requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LATE CROWD, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR PRODUCTION DELAY OR RESHOOT COSTS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, the limits apply to the fullest extent permitted.

11. Indemnification

You agree to defend, indemnify, and hold harmless The Late Crowd, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to Your Content, your use of the Service, misuse of pairing features, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. You may cancel a membership or delete your account through the tools we provide, subject to any applicable billing terms. Effects of account deletion on your data are described in our Privacy Policy.

We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

13. Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules. Subject to applicable law, you and The Late Crowd, LLC agree that state and federal courts located in Louisiana will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Material changes will be indicated by a notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
